These terms should be read in conjunction with the XSCode Terms of Service. XSCode reserves the right to change these terms. Any such change will apply prospectively and not retroactively. All prices in the terms described here are in US dollars unless specified otherwise.
Capitalized terms used in this Payment Terms shall have the same meaning as set out in the Terms of Service, unless specified otherwise.
Acquiring access to a code repository offered via XSCode, can be performed in the following ways:
XSCode automatically charges the Licensee’s through its payment method on the 1st of each calendar month.
The billed amount is for the sum of all active subscriptions during the previous month, regardless of when they started (calendric billing).
Where applicable, Users will be charged with indirect taxes (such as VAT) depending on its residency location and any applicable law, in addition to the Services price, which shall be added to the billed amount.
Such taxes shall only be borne by the Users, and XSCode will not be liable for handling taxes on revenue generated by Users.
A handling fee shall be added to every subscription and will be reflected in the final price. Handling fees are calculated according to the following:
XSCode will attempt to bill the payment method on the 1st of each calendar month. In case of failure, XScode will attempt to contact the Licensee and notify him/her on said failure. It is the Licensee’s responsibility to verify that the payment method provided is valid, and to replace or update it when required.
XSCode’s team will attempt to charge the payment method several times during a 7 day period after the initial payment failure. If payment processing has not been successful within 7 days, all active subscriptions of the Licensee will be cancelled, and access to the code repositories will be revoked.
During the aforementioned 7 day period, the licensee will still be able to access the code repositories. XSCode reserves the right to pursue legal action against clients who have not successfully paid their balance in full on time.
Licensors are entitled to receive the revenue actually generated (collected) by payments made by its Licensees after deduction of XSCode handling fees set forth above, and the commission as described below. Payout is calculated according to actual payments that were processed by XSCode, and not by active subscriptions. XSCode’s team will make its reasonable efforts to process all transactions. However, XSCode shall not be liable to compensate Licensors for subscriptions for which payment failure has occurred.
Nevertheless, Licensors will only be able to withdraw (receive) the above payment after the aggregated fees to be paid to them reached the minimal amount of US$50. If Licensor does not reach the forgoing minimal amount, its balance will be forwarded to the following month, until the minimal amount is reached.
Payout will be made automatically to the User on an EOM +30 basis. For example, Licensors will be paid at the end of February, for revenue generated by their repositories on January.
Payout will be done via an external vendor. Licensors shall be subject to the terms of service of vendor (link), such that Licensors shall have no claims against XSCode in this matter.
Licensor may choose to share its actual revenue (the amounts it is entitled to be paid herein) with other XSCode users. Such Users shall be defined as “Team members”.
As a Team Member you may receive revenue generated by other Licensors who opted to share their revenue with you.
Licensors may set, at their sole discretion, the percentage from the proceeds derived to him from the Platform that they would like to share with each Team Member, for each specific month. The percentage of such revenue distribution shall be set by the Licensor for each calendar month on the last day of each such month.
For the removal of any doubt, such revenue distribution distributed to the Team Members will deducted from payouts to be paid to Licensor’s account.
The forgoing revenue distribution is final and non-refundable. It is the Licensor’s sole responsibility to verify that the revenue distribution and its rate are correct and to his preference. Neither Licensors not Team Members shall have any claims against XSCode in this matter.
Any claims relates to revenue distribution shall be the Licensor’s sole responsibility. The Licensor may add or remove Team Members from his repository at any time and at its sole discretion.
XSCode shall not be side to any dispute the Licensor and the Team Members may be involved in and shall not be required to indemnify, hold harmless, compensate or defend the any of the Licensor or its Team Members against any costs, claims, liabilities, damages or expenses incurred by the Licensor or the Team Members in connection therewith.
Licensor may establish an organization on XSCode Services. As such, several Users may have access to set the revenue distribution percentage (“Organization”). The Organization will be managed by the Users and XSCode shall not be liable for any operation or internal matters of such Organization. Solely the admin User of the Organization shall be responsible to verify revenue distribution is correct.
For each payout made to the Licensor’s payout account, XSCode will charge a 25% commission. Meaning that the payout amount to the Licensor (or to Licensor and Team Members if applicable) will be 75% of generated revenue (including subscription fees, but, for the avoidance of doubt, not including handling fees).
Voluntary Repository Removal - Licensors shall have the right to remove repositories as set forth below. In case of such repository removal, initiated by the Licensor, all Licensees with an active subscriptions will be receive a notice from XSCode’s Services, and will be given a 30 day period of paid access to the repository prior to its removal from the Platform. Upon Voluntary Repository Removal, it is the Licensees sole responsibility to get prepared in advance to such Voluntary Repository Removal. XSCode shall not be liable for any damages caused to any of the Licensees or any other third party due to the aforementioned Voluntary Repository Removal.
Involuntary Repository Removal – Repositories may be removed or Service may be ceased due to reasons attributed to 3rd parties, including but not limited to Github (for example such which relates to the Platform’s infrastructure and dependencies), In such case case XSCode may not be able to provide continuous access to a/the repository/ies or the Services,
User's use of the Platform may require the User’s to have and continually keep valid account in external websites/apps (including, but not limited to Github). To the extent such condition is not met by the User, XSCode Services/Platform may not be available to the User and the User will have no claims against XSCode in connection therewith (and amounts already paid for licenses in such case shall not be refunded).
